These Terms and Conditions (“Terms”) govern your use of the website at cryptofundresearch.com (“the Site”) and all products and services provided by Crypto Fund Research (“we,” “us,” or “our”), a division of The Blue Heron Group LLC, a California limited liability company based in San Francisco, California.

By accessing the Site, creating an account, or purchasing any product, you (“User,” “Client,” or “you”) agree to be bound by these Terms. If you are using the Site on behalf of a company or other organization (“Client Organization”), you represent that you have the authority to bind that organization to these Terms. The term “Client” refers collectively to the User and any Client Organization.

You should also review our Privacy Policy.

We reserve the right to modify these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

1. Description of Service

The Service consists of all information, data, tools, and digital products made available through the Site, including but not limited to:

  • Crypto Fund List — A downloadable Excel file containing data on 800+ crypto investment funds, including contact information, key personnel, fund details, and service providers. One-time purchase with 12 months of quarterly updates.
  • Performance Database — An online interactive dashboard with monthly performance data, risk metrics, due diligence information, and analytics for 300+ crypto funds. Annual subscription with weekly data updates.
  • Corporate Plan — Multi-seat access to the Performance Database for up to 10 users within a single organization. Annual subscription.
  • Free Products — Including but not limited to the free sample fund list, performance database demo, CFR Crypto Fund Index, research reports, fund profile pages, and other publicly available content.

2. Accounts and Registration

When you create an account or make a purchase, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Usernames and passwords are personal to the individual User. Multiple Users within a single Client Organization each require an individual username and password, unless the Client has purchased a Corporate Plan.

If you suspect unauthorized access to your account, you must notify us immediately at info@cryptofundresearch.com and take steps to change your password.

3. Purchases, Subscriptions, and Refunds

Pricing

All prices are listed in US dollars. We reserve the right to change pricing at any time. Price changes do not affect existing paid subscriptions until their next renewal.

Payments

Payments are processed through Stripe. By making a purchase, you agree to Stripe’s terms of service. We do not store your full payment card information on our servers.

Subscriptions and Auto-Renewal

Performance Database and Corporate Plan subscriptions renew automatically on an annual basis until cancelled. You will be charged the then-current subscription price at each renewal. It is your responsibility to cancel your subscription before the renewal date to avoid future charges. You may cancel from your account dashboard or by contacting us at info@cryptofundresearch.com at least 72 hours prior to your renewal date.

Refund Policy

Because our products are digital and provide immediate access to proprietary data, refunds are generally not available. We make free demos and samples available so you can evaluate our products before purchasing.

To the extent refunds are issued, they are at the sole discretion of Crypto Fund Research. Under no circumstances will refunds be issued for requests made more than 30 days after the date of payment.

If you purchase multiple products, any refund issued will be limited to the price of the least expensive product purchased.

Accuracy Guarantee

If you find information in our products to be materially inaccurate, we will work to correct the errors. If a significant portion of data is inaccurate, we may issue a partial refund proportional to the percentage of information found to contain errors. It is your responsibility to provide us with a specific accounting of which data points you believe to be inaccurate. All accuracy claims must be submitted within 30 days of purchase.

4. License and Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and any products you have purchased, solely for your own internal business or personal purposes and in accordance with these Terms.

What You May Do

  • Use the data for your own internal research, analysis, due diligence, and business development purposes
  • Filter, sort, and organize the data for your own internal use
  • Import data into your own CRM or internal tools for the purpose of conducting outreach to funds listed in the data
  • Reference or cite Crypto Fund Research data in your own internal reports and presentations, with attribution

What You May Not Do

Data Redistribution and Competing Use. You may not, directly or indirectly:

  • Copy, reproduce, republish, redistribute, resell, sublicense, or otherwise make available any data from our products to any third party outside your organization
  • Use our data, in whole or in part, to create, populate, supplement, verify, enhance, or otherwise contribute to any database, directory, list, dataset, data product, or information service — whether commercial or non-commercial — that could serve as a substitute for or compete with any Crypto Fund Research product
  • Aggregate, compile, or combine our data with other data sources for the purpose of creating a new data product or service
  • Provide our data to any data aggregator, data broker, or similar service
  • Publish, post, or display our data on any website, application, or publicly accessible platform
  • Share data downloads or exports with any person or entity outside your organization, including affiliated companies, without prior written authorization from Crypto Fund Research
  • Use automated tools, scripts, web crawlers, robots, or any other automated means to scrape, extract, download, index, or collect data from the Site or our products
  • Retain a local copy of our data for the purpose of maintaining an in-house database that substitutes for a continuing subscription to our products

Communication Restrictions. You may not use our contact data (including email addresses, phone numbers, and mailing addresses) for mass communications. Mass communications are defined as sending messages of substantially similar content to more than fifty (50) separate recipients within any calendar month without our prior written authorization. All communications using our data must comply with applicable anti-spam laws including CAN-SPAM, GDPR, and CASL.

Account Sharing. You may not share your login credentials with any other person. Sharing constitutes a material breach of these Terms. We may adjust data in a manner that allows us to uniquely identify data provided to each subscriber. If data with your unique identifiers is found in the possession of a third party, a breach of these Terms may be assumed. You will be liable for compensation exceeding the subscription fee that would apply to the unauthorized use.

Reverse Engineering. You may not reverse engineer, decompile, or attempt to extract the source code, algorithms, methodologies, or data structures underlying the Site or our products.

5. Confidential Information

Certain data accessible through the Performance Database and other products may constitute proprietary and confidential information provided by the funds themselves (“Confidential Information”). This includes, but is not limited to, fund performance data, investment strategies, fee structures, and other non-public business information.

You agree to:

  • Keep all Confidential Information strictly confidential
  • Not use, sell, market, publicize, or disclose any Confidential Information to any third party
  • Not make copies of Confidential Information except as necessary for your permitted use
  • Maintain appropriate safeguards to protect Confidential Information from unauthorized access

These confidentiality obligations survive the termination or expiration of your access to the Site and our products.

6. Data Accuracy and No Reliance

While we use reasonable efforts to obtain information from sources we believe to be reliable, we make no representation or warranty that the data is accurate, complete, reliable, current, or error-free.

Our data is compiled from a variety of public and private sources. We cannot and do not verify the accuracy, completeness, or timeliness of all data points. Fund performance data is reported by the funds themselves and has not been independently audited by Crypto Fund Research.

If you believe any information is inaccurate, we ask that you notify us so we may attempt to correct it. We will use good-faith efforts to rectify errors, and such efforts will be deemed to fulfill our obligations regarding data accuracy.

7. No Investment Advice

The Site and our products are for informational purposes only.

Nothing on the Site or in our products constitutes, or should be construed as, investment advice, a solicitation or offer to buy or sell securities, a recommendation to invest in any fund, or advice of any kind — financial, legal, tax, or otherwise.

The data we provide should not be relied upon in making investment decisions. Past performance data does not guarantee future results. The inclusion of a fund in our database does not constitute an endorsement or recommendation.

If you seek investment advice, you should consult a qualified, independent financial advisor. You agree that you will not hold Crypto Fund Research responsible for any investment decisions you make or refrain from making based on information obtained from our products.

The Performance Database is available only to accredited investors and qualified purchasers as defined by applicable securities regulations.

8. Intellectual Property

All data, content, software, designs, logos, trademarks, search methodologies, algorithms, data fields, page layouts, and other intellectual property on the Site and in our products are the exclusive property of Crypto Fund Research (a division of The Blue Heron Group LLC) or our licensors.

No part of the Site or our products may be reproduced, modified, distributed, or commercially exploited without our prior written consent, except as expressly permitted under Section 4.

CFR Crypto Fund Index

The CFR Crypto Fund Index data may be freely used for internal purposes and may be reproduced provided that reference to Crypto Fund Research is included in any dissemination or reproduction, and if reproduced on the web, a hyperlink to the CFR Crypto Fund Index page on our Site is included. This data is provided on an “as is” basis without warranty.

Third-Party Trademarks

Any fund names, logos, or other trademarks displayed on the Site are the property of their respective owners and do not imply endorsement of Crypto Fund Research.

9. Data Contributions

Fund managers and other parties are invited to contribute data to Crypto Fund Research, including fund information, performance data, and related materials. By submitting data to us, you:

  • Grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, display, and distribute the submitted data as part of our products and services
  • Represent that the submission does not breach any confidentiality agreement, copyright, or intellectual property right
  • Acknowledge that we may edit, format, or supplement submitted data
  • Acknowledge that we reserve the right to review, screen, and refuse any submitted content

10. Third-Party Links

The Site may contain links to third-party websites, including fund websites, social media profiles, and partner services. We have not reviewed these websites and do not endorse or accept responsibility for their content, products, services, or privacy practices. Your use of third-party links is at your own risk.

11. Prohibited Conduct

In addition to the restrictions in Section 4, you agree not to:

  • Use the Site in any manner that could disable, overburden, or impair our servers or interfere with any other party’s use of the Site
  • Use automated software, bots, crawlers, scrapers, or similar technology to access the Site or collect data
  • Attempt to gain unauthorized access to any part of the Site, other accounts, or our systems
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Site for any purpose that is unlawful or prohibited by these Terms
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

12. Limitation of Liability

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR SECURITY.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability for any claim arising from or related to the Site or our products shall not exceed the lesser of one thousand US dollars ($1,000) or the total fees paid by you to Crypto Fund Research in the twelve (12) months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost data, loss of business opportunity, or damage to reputation, whether or not we were advised of the possibility of such damages.
  • No action arising from or pertaining to the Site or our products may be brought more than one (1) year after the event giving rise to such action.
  • We are not liable for any failure to provide the Service due to events beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, labor disputes, or acts of government.

13. Indemnification

You agree to defend, indemnify, and hold harmless Crypto Fund Research, The Blue Heron Group LLC, and their officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your access to or use of the Site or our products
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any unauthorized use of your account, whether or not authorized by you
  • Your use of our data in a manner not permitted by these Terms

14. Termination

We reserve the right to suspend or terminate your access to the Site and our products at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.

Upon termination:

  • Your license to access and use the Site and our products is immediately revoked
  • You must cease all use of any data obtained from our products
  • You must destroy any copies of our data in your possession, except data that has been lawfully incorporated into your own internal reports or presentations prior to termination
  • Sections 4 (data use restrictions), 5 (confidentiality), 6 (no reliance), 7 (no investment advice), 8 (intellectual property), 12 (limitation of liability), 13 (indemnification), and 15 (governing law) survive termination

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of California and the United States of America, without regard to conflict of law principles.

You agree to the exclusive jurisdiction of the state and federal courts located in San Francisco, California for the resolution of any disputes arising from these Terms or your use of the Site.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Crypto Fund Research regarding your use of the Site and our products. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
